SUPPLIER CONTRACT

This Supply Agreement (the “Agreement”), dated [AGREEMENT DATE], is made by and between [SUPPLIER COMPANY NAME] (the “Supplier”) and FOREVER JEWELS (the “Company”).

The Parties agree to the following terms in addition to the mutual promises and covenants in this Agreement:

PROGRAM DETAILS
1. The Company allows the Supplier to join the Program. The Supplier’s membership cannot be shared or transferred to anyone else.li>
RENEWAL AND TERMINATION
1. Renewal: The Supplier may choose to renew their account at any point prior to the conclusion of their 12-month supply contract period.
2. Termination: The Supplier’s account will automatically be terminated at the end of their 1 year contract, unless they choose to renew their account before the contract ends.
3. Termination: Suppliers are entitled to cancel their account at any time. However, once they terminate their account, it will be automatically deactivated, and they will no longer have access to it.
4. Termination: The Company reserves the right to cancel the Supplier’s account at any time.
GOODS AND SERVICES
1. Products/Services: The Supplier agrees to supply the products and relevant information, as outlined in the product document submitted and approved during the product approval stage, including the products uploaded onto the platform, to the Company.
2. Quality Standards: The Supplier shall adhere to agreed-upon quality standards and specifications listed in the website product pages. Any deviation must be approved in writing by the Company.
LISTING FEES, PAYMENT, AND INCENTIVES
1. Program Fee: The pricing for utilising the Company's platform consists of:
  - A monthly listing fee of 5 USD per SKU.
2. Payment Terms: The
  Company agrees to pay the Supplier the amount equivalent to the cost of the
  products provided by the Supplier.
3. Monthly Incentives: Suppliers may qualify for an incentive of receiving 1 USD per piece sold if an individual SKU surpasses 100 pieces sold within a month.
PRODUCT PRICING
1. Price Determination: The pricing for supplied products will be determined based on the rates provided by the Supplier, as mutually agreed upon between the Supplier and the Company. While the Company reserves the right to sell the products for a higher price on the platform, the Supplier will receive the original agreed-upon price as provided by the Supplier.
2. Price Modification: Any proposed modifications to pricing shall be communicated in writing by the Supplier to the Company. The Company reserves the right to reject the proposal. Accepted proposals will be implemented within a period of up to 3 business days.
3. Volume discounts: The Supplier may offer volume discounts based on the quantity of products ordered. The volume of products ordered or the discounts given is solely at the discretion of the Supplier, and the Company does not impose any restrictions or limits regarding this issue. Please specify this information in the product information sheet submitted during the initial approval process.
4. Special Promotions and Discounts: The Supplier may offer special promotions or discounts at their discretion, subject to prior written agreement between the Supplier and the Company.
ORDERING PROCESS
1. Process: The Company will notify Suppliers when an order has been placed by clients, and the Supplier agrees to fulfil orders promptly. The process is outlined as follows:
  - Upon receiving an order from a client, the Company will promptly notify the Supplier and process the payment of the initial 50% through bank transfer. The lead time will commence from the day of this notification. Alternatively, we will send raw materials needed for production within 3 working days of notifying you of the new order.
  - The Supplier is required to notify the Company one week before completing the manufacturing process. This advance notice allows both parties to coordinate and schedule a date for a quality controller to visit the Supplier's factory for inspection. Acceptance is subject to compliance with agreed specifications.
  - Once the quality controller has confirmed the product quality and adherence to standards, the Supplier is authorised to ship the goods to the Company's office address as specified in their account's profile page.
  - Upon arrival at the Company's office, there will be no secondary inspection; the goods will be promptly dispatched without further review. The Company will oversee all shipping and handling processes associated with delivering the goods to the client.
  - The balance payment to the Supplier will be processed within 7 days of the goods being delivered to the Company's office.
2. Lead Time: The Supplier agrees to meet the agreed-upon lead time for every order fulfilment. This agreed-upon lead time will be clearly indicated on each product page, with the information supplied by the Supplier.
LATE DELIVERY
1. In the event that the Supplier fails to deliver the goods or services as specified in the contract within the agreed-upon delivery timeline, the Supplier shall be liable to the Company for late delivery penalties.
2. The penalty for late delivery shall be imposed at a rate of 10% of the total contract value if the Supplier exceeds the agreed-upon delivery date by more than 3 days.
3. In the event that the Supplier is late for more than 7 days beyond the agreed-upon delivery date, the Company reserves the right to cancel the order without any further obligation or liability. In such a case, the Supplier shall be required to refund the full amount paid by the Company and return any raw materials provided by the Company for the specific order. The cancellation shall be communicated to the Supplier in writing, and the Supplier shall be responsible for any costs or damages incurred by the Company as a result of the late delivery and subsequent cancellation.
4. The Supplier shall have the right to provide a written explanation and justification for the delay within 3 days of receiving the notification. The Company shall review the Supplier's explanation in good faith and may, at its discretion, waive or reduce the penalty charges.
5. The Company shall deduct the penalty charges from any outstanding payment due to the Supplier.
6. The late delivery penalty clause shall not be applicable in cases of force majeure events, including but not limited to acts of God, natural disasters, war, riots, strikes, or any other unforeseeable circumstances beyond the control of the Supplier.
7. The late delivery penalty clause shall remain in effect until the Supplier fulfils the contractual obligations and delivers the goods or services as specified in the contract.
ORDER CANCELLATION
1. In the event that the Supplier fails to deliver the ordered goods within the agreed-upon timeframe as specified in the Purchase Order or any subsequent written agreement, the Company reserves the right to cancel the order without incurring any liability or penalty.
2. In the event of order cancellation by the Company within 1 week of order placement, the Supplier shall refund eighty (80) percent of the payment made by the Company for the cancelled order. The Supplier is entitled to retain twenty (20) percent of the payment made by the Company as a cancellation fee for the cancelled order.
3. In the event of order cancellation by the Company after 1 week of order placement, the Supplier shall refund seventy (70) percent of the payment made by the Company for the cancelled order. The Supplier is entitled to retain thirty (30) percent of the payment made by the Company as a cancellation fee for the cancelled order.
4. The Company acknowledges that the cancellation fee is intended to reasonably compensate the Supplier for costs and losses incurred as a result of the order cancellation.
5. The Supplier shall process the refund within 7 business days from the date of cancellation notice provided by the Company.
6. The Company agrees that the cancellation fee and refund specified herein shall be the sole remedy and compensation for the order cancellation, and the Company waives any other claims or demands related to the cancelled order.
7. This clause shall not limit or prejudice any other rights or remedies available to either party under this contract or applicable laws and regulations.
8. Section 7.2 to 7.8 applies solely to instances where the cancellation of an order is due to a customer’s change of mind. It does not apply if the cancellation is a result of late delivery by the Supplier or any one of the reasons in section 8 of this contract.
REPLACEMENT OF DAMAGED GOODS
1. Damaged Goods: In the event that a customer receives goods in a damaged condition, it is mandatory to notify the Company within three (3) business days from the date of receipt. If the damaged goods originate from the Supplier, the Supplier assumes responsibility for replacing the damaged items, including covering the associated shipping and handling fees for both the return to the Supplier and the subsequent shipment back to the customer.
2. Incorrect Goods Shipped: Should the Supplier dispatch incorrect goods to the customer, the customer is entitled to request a return and refund, a request to which the Supplier must comply with. Additionally, the Supplier is responsible for covering all shipping and handling costs incurred from the initiation of the order until the return of the goods.
3. Product Mis-description: If the goods ordered are inaccurately described by the Supplier, the customer is entitled to request a return and refund, a request to which the Supplier must comply with. Additionally, the Supplier is responsible for covering all shipping and handling costs incurred from the initiation of the order until the return of the goods.
4. Goods for Replacement: The Supplier is required to process all replacements within ten (10) to thirty (30) business days upon receiving the goods for replacement.
DUTIES AND RESPONSIBILITIES
1. Company's Responsibilities: The Company promises to let the Supplier access the Program and to perform its duties. These duties include:
  - Provide the agreed services as outlined in this Agreement.
  - Maintain the quality of the Program as promised to the Supplier.
  - Provide necessary support to the Supplier as and when required.
2. Supplier’s Responsibilities: The Supplier promises to follow all the rules and conditions of this Agreement and the Program. These include:
  - Respect other Supplier’s rights and abide by any guidelines about the use of shared resources if applicable.
  - During the data entry process, Suppliers are expressly prohibited from deviating from the product information approved by the Company during the initial approval process without obtaining prior written consent. Consistent violation of this provision may result in immediate account termination and legal action.
  - Not engage in any activities that could harm the reputation of the Program or the Company.
  - Comply with any other conditions outlined in this Agreement or in the Program guidelines.
LIABILITY AND INDEMNIFICATION
1. Liability Limitation: Unless the law says otherwise, the Company won't be responsible for any indirect or unexpected damages, including lost profits.
2. Indemnification: If the Company gets sued because of something the Supplier did related to the Program, the Supplier will cover the Company's costs.
DATA PRIVACY AND SECURITY
1. Data Collection and Use: The Company will collect, store, and use the Supplier’s data in line with the Company's Privacy Policy. This policy outlines:
  - Information about the Supplier’s use of the Program.
  - Any other information needed to fulfil the Company's obligations under this Agreement.
  - The Company uses this data to provide and improve the Program, communicate with the Supplier, comply with legal requirements and protect the Company's legal rights.
2. Data Security: The Company will do its best to protect the Supplier’s data from being accessed, used, changed, or disclosed without permission. It will do this using appropriate technical and organisational measures.
3. Data Breach: If there is a data breach involving the Supplier’s data, the Company will let the Supplier know as quickly as possible and will take steps to limit the harm caused by the breach.
CONFIDENTIALITY
1. Confidential Information: Both parties agree to keep confidential any proprietary or confidential information obtained during the course of this Contract.
TERM AND TERMINATION
1. Term: This Contract shall commence on the Effective Date and continue until terminated by either party without notice.
2. Termination for Cause: Either party may terminate this Contract immediately for cause, including but not limited to breach of terms, insolvency, or failure to perform.
GOVERNING LAW AND DISPUTE RESOLUTION
1. Governing Law: This agreement will be governed by the laws of the Republic of Singapore, as chosen by the Company.
2. Dispute Resolution: Any disputes arising under or in connection with this Contract shall be resolved through arbitration in accordance with the rules of the Republic of Singapore.
ENTIRE AGREEMENT
1. This Contract constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written.
2. Any amendments to this Contract must be in writing and signed by both parties.

GOLD MEMBERSHIP SALES AGREEMENT

Membership Details
1. The Company allows the Member to join the Program. The Member's membership cannot be shared or transferred to anyone else.
2. Type of Membership: Gold Membership
3. Duration: 12 months
Membership Fees
1. Membership Fee: 700 USD
2. Payment Terms: The membership fee is a one-time payment that is made when a Member initiates an upgrade in their membership. To maintain the membership level, the Member is required to meet the minimum annual spending requirement of 80,000 USD for the Gold membership tier at the end of the 12-month membership contract period. In circumstances where the Member fails to meet the minimum annual spending requirement, the Member will not be able to maintain their current membership level and will automatically revert to a basic membership.

1. Renewal: The membership will undergo automatic renewal at the end of the 12-month membership contract period, provided that the Member satisfactorily fulfills the minimum annual spending requirement of 80,000 USD as stipulated for the Gold membership tier.
2. Cancellation: Members are entitled to cancel their membership at any time. However, refunds will only be granted at the sole discretion of the Company, or under specific conditions or criteria as outlined in the following categories:
  - Cooling-Off Period: If the request for membership cancellation or upgrade reversal is made within 7 days of membership upgrade or membership renewal, Members will be entitled to 50% of refund. It is important to note that this refund is conditional and will be valid only if no purchases have been made and no exclusive benefits listed in section 5 have been utilized during this period.
  - Unfulfilled Services: If the Company fails to provide the services promised in the membership agreement.
Duties and Responsibilities
1. Company's Responsibilities: The Company promises to let the Member access the Program and to perform its duties. These duties include:
  - Provide the agreed services as outlined in this Agreement.
  - Maintain the quality of the Program as promised to the Member.

  - Comply with any other conditions outlined in this Agreement and the Terms and Conditions of this program.

1. The Member will have access to the following enumerated benefits:

    - Member referrers will earn a 3% commission on the total amount spent by the referees they invite. This commission will be credited to their account as store credits, which can be used for their future purchases. Please note that these credits are valid for the next 6 months and will expire if not utilized within that time frame.
    - All Member referees will receive a 3 percent discount on their first order, which will be automatically applied during the checkout.
Liability and Indemnification
1. Liability Limitation: Unless the law says otherwise, the Company won't be responsible for any indirect or unexpected damages, including lost profits.

3. Data Breach: If there is a data breach involving the Member's data, the Company will let the Member know as quickly as possible and will take steps to limit the harm caused by the breach.
Termination and Suspension
1. Termination: Either the Company or the Member can end this Agreement at any time.
2. Termination: The company shall terminate a member's account in the event of the following circumstances:
  - Breach of Contract: If the Member violates the terms and conditions of the membership agreement, the Company may terminate the membership as a consequence of the breach.
  - Non-Payment: If the Member consistently fails to make agreed-upon payments for the B2B membership or associated services, the Company may terminate the membership due to non-compliance with the payment terms.
  - Service Disruption: If the Company experiences prolonged issues that hinder the delivery of agreed-upon services to the Member business, and no resolution can be reached, the Company may decide to terminate the membership.
  - Force Majeure Events: If extraordinary events or circumstances beyond the control of either party, such as natural disasters, civil unrest, or other force majeure events, make it impossible for the Company to fulfill the membership agreement, the membership may be terminated.
  - Change in Business Focus: If the Member business changes its core focus, industry, or operations in a way that renders the services provided by the other party obsolete or irrelevant, termination may be considered. Please note that the decision regarding this condition is at the sole discretion of the Company.
  - Failure to Meet Performance Metrics: If the Member business consistently fails to meet the annual minimum spending, the Company may have the right to terminate the membership.
  - Regulatory Compliance: If the Member business consistently fails to adhere to regulatory requirements or industry standards, the Company may terminate the membership to avoid associated risks or liabilities.
3. Suspension: The company shall suspend a member's account in the event of the following circumstances:
  - Service Disruption: If the Company encounters issues that temporarily hinder the delivery of agreed-upon services to the Member business, the Company may suspend the membership until the services can be resumed.
  - Mutual Agreement: Both the Company and the Member may mutually agree to suspend the membership for a specific period. Please note that the decision regarding this condition is at the sole discretion of the Company.
Governing Law
1. Governing Law: This agreement will be governed by the laws of Singapore, as chosen by the Company.
AgreementIn witness whereof, the Parties hereto have executed this Membership Sales Agreement as of the date first above written. This agreement is the full agreement between the Company and the Member of the Program. This agreement is made official by the signatures of both parties.

Termination and Suspension
1. Termination: Either the Company or the Member can end this Agreement at any time.
2. Termination: The company shall terminate a member's account in the event of the following circumstances:
  - Breach of Contract: If the Member violates the terms and conditions of the membership agreement, the Company may terminate the membership as a consequence of the breach.
  - Non-Payment: If the Member consistently fails to make agreed-upon payments for the B2B membership or associated services, the Company may terminate the membership due to non-compliance with the payment terms.
  - Service Disruption: If the Company experiences prolonged issues that hinder the delivery of agreed-upon services to the Member business, and no resolution can be reached, the Company may decide to terminate the membership.
  - Force Majeure Events: If extraordinary events or circumstances beyond the control of either party, such as natural disasters, civil unrest, or other force majeure events, make it impossible for the Company to fulfill the membership agreement, the membership may be terminated.
  - Change in Business Focus: If the Member business changes its core focus, industry, or operations in a way that renders the services provided by the other party obsolete or irrelevant, termination may be considered. Please note that the decision regarding this condition is at the sole discretion of the Company.
  - Failure to Meet Performance Metrics: If the Member business consistently fails to meet the annual minimum spending, the Company may have the right to terminate the membership.
  - Regulatory Compliance: If the Member business consistently fails to adhere to regulatory requirements or industry standards, the Company may terminate the membership to avoid associated risks or liabilities.
3. Suspension: The company shall suspend a member's account in the event of the following circumstances:
  - Service Disruption: If the Company encounters issues that temporarily hinder the delivery of agreed-upon services to the Member business, the Company may suspend the membership until the services can be resumed.
  - Mutual Agreement: Both the Company and the Member may mutually agree to suspend the membership for a specific period. Please note that the decision regarding this condition is at the sole discretion of the Company.

SILVER MEMBERSHIP SALES AGREEMENT

Membership Details
1. The Company allows the Member to join the Program. The Member's membership cannot be shared or transferred to anyone else.

Membership Fees
1. Membership Fee: 145 USD
2. Payment Terms: The membership fee is a one-time payment that is made when a Member initiates an upgrade in their membership. To maintain the membership level, the Member is required to meet the minimum annual spending requirement of 30,000 USD for the Silver membership tier at the end of the 12-month membership contract period. In circumstances where the Member fails to meet the minimum annual spending requirement, the Member will not be able to maintain their current membership level and will automatically revert to a basic membership.
Renewal and Cancellation
1. Renewal: The membership will undergo automatic renewal at the end of the 12-month membership contract period, provided that the Member satisfactorily fulfills the minimum annual spending requirement of 30,000 USD as stipulated for the Silver membership tier.
2. Cancellation: Members are entitled to cancel their membership at any time. However, refunds will only be granted at the sole discretion of the Company, or under specific conditions or criteria as outlined in the following categories:
  - Cooling-Off Period: If the request for membership cancellation or upgrade reversal is made within 7 days of membership upgrade or membership renewal, Members will be entitled to 50% of refund. It is important to note that this refund is conditional and will be valid only if no purchases have been made and no exclusive benefits listed in section 5 have been utilized during this period.
  - Unfulfilled Services: If the Company fails to provide the services promised in the membership agreement.
Duties and Responsibilities
1. Company's Responsibilities: The Company promises to let the Member access the Program and to perform its duties. These duties include:
