  1. Membership Details
    1. The Company allows the Member to join the Program. The Member's membership cannot be shared or transferred to anyone else.
    2. Type of Membership: Gold Membership
    3. Duration: 12 months
  2. Membership Fees
    1. Membership Fee: 700 USD
    2. Payment Terms: The membership fee is a one-time payment that is made when a Member initiates an upgrade in their membership. To maintain the membership level, the Member is required to meet the minimum annual spending requirement of 80,000 USD for the Gold membership tier at the end of the 12-month membership contract period. In circumstances where the Member fails to meet the minimum annual spending requirement, the Member will not be able to maintain their current membership level and will automatically revert to a basic membership.
  3. Renewal and Cancellation
    1. Renewal: The membership will undergo automatic renewal at the end of the 12-month membership contract period, provided that the Member satisfactorily fulfills the minimum annual spending requirement of 80,000 USD as stipulated for the Gold membership tier.
    2. Cancellation: Members are entitled to cancel their membership at any time. However, refunds will only be granted at the sole discretion of the Company, or under specific conditions or criteria as outlined in the following categories:
      • Cooling-Off Period: If the request for membership cancellation or upgrade reversal is made within 7 days of membership upgrade or membership renewal, Members will be entitled to 50% of refund. It is important to note that this refund is conditional and will be valid only if no purchases have been made and no exclusive benefits listed in section 5 have been utilized during this period.
      • Unfulfilled Services: If the Company fails to provide the services promised in the membership agreement.
  4. Duties and Responsibilities
    1. Company's Responsibilities: The Company promises to let the Member access the Program and to perform its duties. These duties include:
      • Provide the agreed services as outlined in this Agreement.
      • Maintain the quality of the Program as promised to the Member.
      • Provide necessary support to the Member as and when required.

      • Not engage in any activities that could harm the reputation of the Program or the Company.
      • Comply with any other conditions outlined in this Agreement and the Terms and Conditions of this program.
  5. Access and Benefits
    1. The Member will have access to the following enumerated benefits:

  6. Liability and Indemnification

      • Any other information needed to fulfill the Company's obligations under this Agreement.
      • The Company uses this data to provide and improve the Program, communicate with the Member, comply with legal requirements and protect the Company's legal rights.
    2. Data Security: The Company will do its best to protect the Member's data from being accessed, used, changed, or disclosed without permission. It will do this using appropriate technical and organizational measures.
    3. Data Breach: If there is a data breach involving the Member's data, the Company will let the Member know as quickly as possible and will take steps to limit the harm caused by the breach.
  8. Termination and Suspension
    1. Termination: Either the Company or the Member can end this Agreement at any time.
    2. Termination: The company shall terminate a member's account in the event of the following circumstances:
      • Breach of Contract: If the Member violates the terms and conditions of the membership agreement, the Company may terminate the membership as a consequence of the breach.
      • Non-Payment: If the Member consistently fails to make agreed-upon payments for the B2B membership or associated services, the Company may terminate the membership due to non-compliance with the payment terms.
      • Service Disruption: If the Company experiences prolonged issues that hinder the delivery of agreed-upon services to the Member business, and no resolution can be reached, the Company may decide to terminate the membership.
      • Force Majeure Events: If extraordinary events or circumstances beyond the control of either party, such as natural disasters, civil unrest, or other force majeure events, make it impossible for the Company to fulfill the membership agreement, the membership may be terminated.
      • Change in Business Focus: If the Member business changes its core focus, industry, or operations in a way that renders the services provided by the other party obsolete or irrelevant, termination may be considered. Please note that the decision regarding this condition is at the sole discretion of the Company.
      • Failure to Meet Performance Metrics: If the Member business consistently fails to meet the annual minimum spending, the Company may have the right to terminate the membership.
      • Regulatory Compliance: If the Member business consistently fails to adhere to regulatory requirements or industry standards, the Company may terminate the membership to avoid associated risks or liabilities.
    3. Suspension: The company shall suspend a member's account in the event of the following circumstances:
      • Service Disruption: If the Company encounters issues that temporarily hinder the delivery of agreed-upon services to the Member business, the Company may suspend the membership until the services can be resumed.
      • Mutual Agreement: Both the Company and the Member may mutually agree to suspend the membership for a specific period. Please note that the decision regarding this condition is at the sole discretion of the Company.
  9. Governing Law
    1. Governing Law: This agreement will be governed by the laws of Singapore, as chosen by the Company.

    3. Data Breach: If there is a data breach involving the Member's data, the Company will let the Member know as quickly as possible and will take steps to limit the harm caused by the breach.
  7. Termination and Suspension
    1. Termination: Either the Company or the Member can end this Agreement at any time.
    2. Termination: The company shall terminate a member's account in the event of the following circumstances:
      • Breach of Contract: If the Member violates the terms and conditions of the membership agreement, the Company may terminate the membership as a consequence of the breach.
